Effective at product launch
The Inkset platform is in private beta. These Terms describes how the platform will operate when it opens to the public, and takes effect for all users on that date. Beta participants are governed by the terms of their beta program until then. Where this document names a capability such as identity verification or on-chain records, that capability is part of the launch release.
1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern your access to and use of Inkset’s platform for contract execution, document management, and electronic signature services (the “Platform”). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms.
2. The Platform
Inkset provides a platform for creating, managing, and executing contracts and documents, including identity-verified electronic signature services anchored to a public blockchain. Inkset’s electronic signature process is governed by the Electronic Signature & Cryptographic Identity Policy and the Electronic Records and Signatures Disclosure, both incorporated into these Terms by reference.
3. Eligibility and Identity Verification
To use the Platform, you must complete Inkset’s identity verification (KYC) process. You agree to provide accurate, current, and complete information during this process and to promptly update such information if it changes. Inkset may suspend or terminate access for any account where identity verification cannot be completed or maintained.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify Inkset promptly of any unauthorized use of your account.
5. Contracts, Documents, and Signatures
The Platform allows you to create contracts, upload and manage documents, and execute electronic signatures. You are solely responsible for the content of any contract or document you create, upload, or sign, and for ensuring you have the authority to enter into any agreement executed through the Platform.
Inkset is not a party to any contract executed between users of the Platform and does not review, approve, or guarantee the legality, enforceability, or content of any document.
6. On-Chain Records
Certain information related to your use of the Platform, including document hashes, signature events, and identity-bound cryptographic addresses, is recorded on a public blockchain. On-chain records are permanent and cannot be altered or deleted by Inkset. No personally identifiable information is recorded on-chain; personal data is held in Inkset’s databases as described in the Privacy Policy.
7. Fees
Use of certain Platform features may require payment of fees, as described at the time of purchase or in your account settings. All fees are non-refundable except as required by law.
8. Acceptable Use
You agree not to use the Platform to upload, create, or sign documents that are unlawful, fraudulent, or that violate the rights of any third party, or to attempt to circumvent Inkset’s identity verification, signature, or security systems.
9. International Use and Data Transfers
The Platform is operated from the United States. If you access the Platform from outside the United States, your information, including personal data, may be transferred to, stored, and processed in the United States and other jurisdictions. By using the Platform, you consent to such transfers. Inkset implements appropriate safeguards for international data transfers as described in the Privacy Policy.
10. Intellectual Property
Inkset retains all rights, title, and interest in the Platform, including its software, design, and underlying technology. These Terms do not grant you any rights to Inkset’s intellectual property except as necessary to use the Platform as intended.
11. Disclaimers
The Platform is provided “as is.” Inkset does not guarantee the Platform will be uninterrupted, error-free, or secure, and does not provide legal, tax, or financial advice. Use of the Platform does not constitute legal advice regarding the enforceability of any contract or signature in your jurisdiction.
12. Limitation of Liability
To the maximum extent permitted by law, Inkset’s liability arising from your use of the Platform is limited to the fees you have paid to Inkset in the twelve months preceding the claim. Inkset is not liable for indirect, incidental, or consequential damages.
13. Termination
Inkset may suspend or terminate your access to the Platform for violation of these Terms, failure to maintain identity verification, or as required by law. You may terminate your account at any time; certain records will continue to be retained as described in the Electronic Signature & Cryptographic Identity Policy and Privacy Policy.
14. Changes to These Terms
Inkset may update these Terms from time to time. Material changes will be communicated to you, and continued use of the Platform after such changes constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles.
